SAME $50 MICHIGAN FILING FEE EITHER WAY

Michigan LARA LLC Filing vs. ZenBusiness Michigan LLC Filing

Filing a Michigan LLC yourself means completing the Articles of Organization and submitting them through LARA's MiBusiness Registry Portal. Going through ZenBusiness means the filing is prepared and reviewed first, with reminders for what comes due later. The state fee is the same either way.

LARA is the Michigan Department of Licensing and Regulatory Affairs, which handles business filings through its Corporations Division.
ZenBusiness is not affiliated with, endorsed by, or sponsored by the State of Michigan.

  1. Michigan business filings go through the Corporations Division of LARA, the Department of Licensing and Regulatory Affairs, rather than the Secretary of State. ZenBusiness is not affiliated with, endorsed by, or sponsored by LARA or the State of Michigan. Michigan fees and requirements were verified as of 8/27/26.
  2. Based on the ZenBusiness Starter package: a $0 service fee plus the $50 Michigan filing fee. Starter does not renew. Pro is $199 and Premium is $399, both plus the $50 filing fee, and both renew annually at those rates. The Michigan filing fee is a one-time charge.
  3. Michigan charges $50 to file Articles of Organization for an LLC, and the fee is nonrefundable. Requirements and forms are published on LARA’s limited liability company page.
  4. Time to submit is how long ZenBusiness takes to prepare the Articles of Organization and send them to LARA. Michigan review time applies on top of that. LARA sells expedited review in tiers, and rush submission is available with Starter for an additional $79 and is included in Pro and Premium.
  5. The Starter package includes one optional free year of Worry-Free Compliance, which renews at $199/year. Worry-Free Compliance includes one report filing and up to two amendments a year, and sends reminders before compliance deadlines. State fees are separate.
  6. LARA offers phone and email support and free virtual appointments with the Corporations Division. As of June 23, 2025, annual statements must be filed online through the MiBusiness Registry Portal, and LARA no longer accepts paper annual filings. See the Corporations Division.

ZenBusiness vs Michigan LARA LLC Filing FAQs

  • Yes. LARA’s Corporations Division accepts Articles of Organization directly from business owners through the MiBusiness Registry Portal.

Filing with LARA on your own means running your own name search, completing the Articles of Organization, naming a resident agent and filing an annual statement every year after that. The $50 Michigan filing fee applies either way, so the question is how much of that work you want to handle.

  • Michigan charges $50 to file Articles of Organization for an LLC, and the fee is nonrefundable.

After that, the recurring cost is the annual statement, which Michigan requires every year to keep the LLC in good standing. Optional costs include name reservation and expedited review, which LARA sells in tiers. Michigan has no franchise tax.

Current amounts are published in LARA’s filing fee schedule on its limited liability company page.

  • The total cost is the same. The ZenBusiness Starter package has a $0 service fee, so you pay Michigan’s $50 filing fee and nothing more.

Filing with LARA on your own is not cheaper, because that $50 is a state fee that applies no matter who submits the paperwork. The difference is who prepares the filing, who reviews it before it reaches LARA and who keeps track of the annual statement each February.

If you want more handled up front, ZenBusiness Pro is $199 per year plus the $50 Michigan filing fee and adds 1-business-day submission, an EIN and an operating agreement template.

  • An annual statement. Michigan uses that term rather than annual report, which trips up owners who go looking for the wrong thing in the filing system.

The function is the same as an annual report in other states. It confirms the LLC’s information with LARA and keeps the business in good standing. Corporations in Michigan file an annual report, which is a separate filing with a separate deadline.

  • February 15 each year. LARA opens the filing window early in the preceding October, so it can be filed months ahead of the deadline.

A newly formed LLC gets a break. If the LLC was formed after September 30, the first annual statement is not due until the following year’s February 15, which means skipping the deadline that falls just after formation.

As of June 23, 2025, annual statements have to be filed online through the MiBusiness Registry Portal. LARA no longer accepts paper annual filings.

  • The LLC stops being in good standing with LARA, which affects the business’s ability to obtain a certificate of good standing and can complicate banking, financing and contracts.

Left unresolved across consecutive years, the LLC can lose the exclusive right to its name, and restoring it means filing the missed statements along with a restoration filing. LARA publishes a restoration process for LLCs in that position.

  • Yes, though Michigan calls it a resident agent. Every Michigan LLC must continuously maintain a resident agent with a physical Michigan street address, and a PO box does not qualify.

You can serve in that role yourself, which means being available at the address during business hours and accepting that the address becomes part of the public record. Using an agent service replaces your address in the resident agent field. Michigan also collects a registered office address that is public, so a home-based business may still have a home address on file either way. Resident agent service is available as an add-on with the Starter and Pro packages and is included in ZenBusiness Premium at $399 per year plus the $50 Michigan filing fee.

  • LARA does not publish a standard turnaround for online or mailed filings. It sells expedited review in tiers instead, from 24-hour service up to one-hour service, each priced on top of the filing fee.

That review time applies no matter who submits the filing. Where the paths diverge is how fast the Articles of Organization reach LARA. Filing yourself, you submit as soon as your paperwork is ready. With ZenBusiness, the Starter package submits in 7 to 10 business days and the Pro and Premium packages submit in 1 business day.

  • LARA retired the Corporations Online Filing System on June 23, 2025 and replaced it with the MiBusiness Registry Portal.

Old COFS login credentials did not carry over, so returning filers need to create a new account. Searches, filings, certificates and copies all run through the new portal now.

  • No. ZenBusiness is an independent business formation service with no affiliation with, endorsement from, or sponsorship by LARA, its Corporations Division, or the State of Michigan.

ZenBusiness prepares and submits filings to the state on behalf of its customers. LARA reviews and approves the filing in either case.

  • Every option below includes Michigan’s $50 filing fee, because the state charges it regardless of who submits the Articles of Organization.

    • Filing with LARA yourself: $50 total.
    • ZenBusiness Starter: $0 service fee plus the $50 Michigan filing fee. Does not renew.
    • ZenBusiness Pro: $199 plus the $50 Michigan filing fee. Adds 1-business-day submission, an EIN and an operating agreement template. Renews at $199 per year, without the state fee.
    • ZenBusiness Premium: $399 plus the $50 Michigan filing fee. Adds resident agent service and advanced compliance protection. Renews at $399 per year, without the state fee.

The annual statement is a separate state fee due every February 15. Michigan has no franchise tax.
