SAME $70 CALIFORNIA FILING FEE EITHER WAY
Filing a California LLC yourself means completing Form LLC-1 and submitting it through the Secretary of State's bizfile Online system. Going through ZenBusiness means the filing is prepared and reviewed first, with reminders for the Statement of Information and franchise tax that follow. The state fee is the same either way.
California business filings go through the Secretary of State's bizfile Online system, and paper LLC filings are no longer accepted.

California charges the same $70 filing fee whether Form LLC-1 comes from you or from ZenBusiness. Compare what each path includes for a California LLC.

Yes. The Secretary of State accepts Articles of Organization directly from business owners through bizfile Online. Paper LLC filings are no longer accepted.
Filing on your own means running your own name search, completing Form LLC-1 and naming an agent for service of process. After approval it also means a Statement of Information within 90 days and an annual franchise tax paid to a separate agency. The $70 California filing fee applies either way.
California charges $70 to file Articles of Organization, Form LLC-1, and the fee is the same regardless of how the filing is submitted.
That is not the full cost of getting started. A Statement of Information is due within 90 days at $20, and the Franchise Tax Board collects an $800 minimum annual franchise tax. Optional costs include a certificate of status and expedited handling.
The total cost to form is the same. The ZenBusiness Starter package has a $0 service fee, so you pay California’s $70 filing fee and nothing more.
Filing on your own is not cheaper, because that $70 is a state fee that applies no matter who submits the paperwork. The difference is who prepares the filing, who reviews it before it reaches the state and who keeps track of the two deadlines that follow.
If you want more handled up front, ZenBusiness Pro is $199 per year plus the $70 California filing fee and adds 1-business-day submission, an EIN and an operating agreement template.
California has two recurring costs rather than one annual report fee. The Franchise Tax Board collects an $800 minimum annual franchise tax, and the Secretary of State charges $20 for a Statement of Information every two years.
An additional LLC fee applies once total California gross receipts exceed $250,000, on a graduated scale set by the Franchise Tax Board.
The $800 is the number that surprises people, because it is owed whether or not the business made any money.
No. The first-year exemption came from Assembly Bill 85 and applied only to LLCs formed between January 1, 2021 and December 31, 2023.
An LLC formed on or after January 1, 2024 owes the full $800 in its first taxable year, due by the 15th day of the fourth month after formation. A good deal of material online still describes the exemption as current, so it is worth checking the Franchise Tax Board before budgeting around it.
Within 90 calendar days of registering with the Secretary of State, then every two years during a filing window based on the original registration date. The fee is $20 and it can only be filed online.
More detail on what the form asks for and how to complete it is in our guide to the California Statement of Information.
Yes, though California calls it an agent for service of process. The agent must be a California resident with a physical street address in the state or a registered corporate agent, and a PO box does not qualify.
You can serve in that role yourself if you have a California street address, which means being available there during business hours and accepting that the address becomes part of the public record. Using an agent service replaces your address in that field. California also collects a business address that is public, so a home-based business may still have a home address on file either way. Agent service is available as an add-on with the Starter and Pro packages and is included in ZenBusiness Premium at $399 per year plus the $70 California filing fee.
Online filings through bizfile Online are typically processed within a few business days, and the state publishes current turnaround alongside its expedited options. Same-day handling is available for an additional fee when the filing is submitted early in the day.
That review time applies no matter who submits the filing. Where the paths diverge is how fast Form LLC-1 reaches the state. Filing yourself, you submit as soon as your paperwork is ready. With ZenBusiness, the Starter package submits in 7 to 10 business days and the Pro and Premium packages submit in 1 business day.
California reviews each filing against the requirements of state law, and a rejection means the paperwork missed one of them. Common causes include a name that is not distinguishable from an existing entity and an agent designation that does not meet the address requirement.
A rejection costs time, and it also pushes back the 90-day Statement of Information clock along with anything waiting on approval, such as a business bank account. California publishes its fee and refund policies through bizfile Online.
ZenBusiness reviews filings before submitting them and backs the work with a 100% Accuracy Guarantee. If there is an error on our end, our team makes it right.
No. ZenBusiness is an independent business formation service with no affiliation with, endorsement from, or sponsorship by the California Secretary of State, the Franchise Tax Board, or the State of California.
ZenBusiness prepares and submits filings to the state on behalf of its customers. The Secretary of State reviews and approves the filing in either case.
Every option below includes California’s $70 filing fee, because the state charges it regardless of who submits Form LLC-1.
None of these cover the state’s recurring costs. The Statement of Information is $20 every two years, and the $800 minimum franchise tax goes to the Franchise Tax Board.
