TAX SERVICES SUBSCRIPTION TERMS

These terms are applicable to your (“you,” “your,” or “customer”) purchase of the Unlimited Tax Advice or Unlimited Tax Advice & Annual Filing subscriptions (separately and collectively, the “Tax Services”) provided by ZenBusiness Inc. (“ZenBusiness,” or “we”) in partnership with 1-800Accountant, LLC (our “Tax Partner”). Tax Services may be sold as a standalone product or bundled with other ZenBusiness products or packages.
The Tax Services is an annual subscription with two different levels of tax support available to purchase:
a. Unlimited Tax Advice. Unlimited Tax Advice includes unlimited scheduled sessions with tax professionals who can answer tax questions related to your business. Each 30-minute session must be scheduled in advance and must focus on one (1) business tax topic per session. Sessions can be scheduled Monday–Friday from 9:30 a.m. to 6:30 p.m. ET.
b. Unlimited Tax Advice & Annual Filing. Unlimited Tax Advice & Annual Filing includes everything that the Unlimited Tax Advice service includes plus one (1) annual tax return filing for the entity and/or individual making the purchase. A tax professional will help prepare, file, and sign your tax return after receiving all relevant income information from you. Your tax return will be reviewed internally for accuracy prior to presenting it to you for approval. Each tax return is guaranteed to be accurate along with the commitment of maximum savings. The tax return can be filed after the Initial Term or subsequent renewal term, so long as the tax professional has obtained all relevant information needed to make the filing during the previous term. ZenBusiness will not be held responsible for fulfilling the annual tax return filing if you fail to provide the necessary documents by the applicable deadline. Should you need an extension, an extension filing is covered in your subscription so long as the extension is requested at least two (2) weeks in advance of the relevant deadline. The single tax filing will cover all applicable state, local, and federal tax return requirements. The tax filing is for a single entity and will not apply to additional members, partners, or shareholders.
To purchase the Tax Services, you must have formed a business (single-member LLC, multi-member LLC, Partnership, S-Corporation, C-Corporation, or any entity taxed as these types of entities) with ZenBusiness, and you must be in good standing with ZenBusiness as it relates to any other products or services purchased (including being up to date with any other billing requirements).
The term for each Tax Services subscription is twelve (12) months from the date of purchase (the “Initial Term”). Following completion of the Initial Term, the relevant Tax Services subscription will automatically renew for additional twelve (12)-month terms unless canceled prior to the next Billing Date. Any adjustments to your term or billing records must be made directly with ZenBusiness and not with the Tax Partner.
You can choose to pay for your Tax Services subscription in one upfront payment, or in monthly equated installments. You must provide a valid credit card (the “Card on File”) at the time of purchase which ZenBusiness will use to charge any payments owed by you including upfront payments and installment payments for both the Initial Term and any renewal terms.
Your Tax Services subscription will renew automatically at the end of the Initial Term and at the end of each successive renewal term at the then-current price (each a “Billing Date”), until you notify us that you want to terminate your Tax Services or your Tax Services are otherwise terminated by ZenBusiness. We may send a reminder email to your email address of record before your Billing Date. Unless required by law in the state where you reside, ZenBusiness is not obligated to provide this notice.
If you do not terminate the Tax Services before the Billing Date, your Card on File will automatically be charged at the then-current, non-promotional subscription rate for the selected Tax Services. You agree to be responsible for any such charges, and we reserve the right to obtain payment directly from you if necessary. If you wish to change your Card on File or if your form of payment information otherwise changes, please contact the ZenBusiness Customer Support Team at firstname.lastname@example.org.
ZenBusiness may adjust your Billing Date in subsequent renewal periods. This will be reflected by a charge to your Card on File on a prorated basis according to the number of days that have passed since the Billing Date of your latest renewal charge.
If a charge made to your Card on File is declined, ZenBusiness may make up to five attempts to bill the Card on File over a thirty (30)-day period. ZenBusiness may obtain automatic updates for any expiring credit cards you have provided. If you choose to pay for your annual subscription in monthly equated installments, and your Card on File is declined at any point during the Initial Term or a renewal term, ZenBusiness reserves the right to terminate your access to the Tax Services, and, if you purchase the Unlimited Tax Advice & Annual Filing product, not provide an annual tax filing. ZenBusiness will not be held responsible in the event a tax filing does not get made by a stated deadline or any interruptions caused in the tax filing process due to failed payments.
We work with one or more third parties, including 1-800Accountant, LLC, in connection with fulfilling the Tax Services. Specifically, our Tax Partner assists us by performing functions that you have otherwise authorized us to perform, such as account operations including account set-up, provision of tax advice, and preparation and filing of tax documents. ZenBusiness Inc. and 1-800Accountant, LLC are independent contractors of each other and do not share common ownership. ZenBusiness Inc. is not an accounting firm or tax professional; we cannot provide tax advice. 1-800Accountant’s team is comprised of licensed tax professionals, including CPAs and EAs, who are qualified to prepare and file your taxes in whichever state your small business is headquartered. Our Tax Partner’s accountants have over seventeen years of professional experience on average.
After purchasing the Tax Services, you will receive an invitation to create an account within our Tax Partner’s website at 1800Accountant.com. This account will allow you to upload relevant tax documents needed in order to fulfill the Tax Services. ZenBusiness will provide the first line of support for anything related to your subscription, including any issues with access to our Tax Partner’s platform.
You acknowledge that ZenBusiness reserves the right to change these Tax Services Terms at any time (“Updated Terms”), in its sole discretion, with or without notice. You agree that we may notify you of the Updated Terms by posting them on www.ZenBusiness.com, and that your use of the Tax Services after the effective date of the Updated Terms constitutes your agreement to the Updated Terms. The Updated Terms will be effective as of the time of posting, or such later date as may be specified in the Updated Terms, and will apply to your use of the Tax Services from that point forward. If you do not agree with an update, your only option is to terminate the Tax Services. Unless explicitly stated otherwise, any new features that augment or enhance the current Tax Services are subject to these Tax Services Terms and/or Updated Terms depending on the date the new features are made available.
