All you have to do is download the Certificate of Change form, fill it out, and submit it to the Department of State along with the $5 filing fee. If your registered agent chooses to resign and no longer serves as your agent, they will notify both you and the Department of State by filing the Certificate of Resignation of Registered Agent form (which has a $60 filing fee they’ll have to pay). As soon as you receive word that your agent is resigning, you should begin finding a replacement to avoid a lapse in your registered agent coverage.
You are not responsible for the $60 registered agent resignation fee; your agent covers that. So, no matter if you’re initiating the registered agent change or replacing an agent who’s resigned, you’ll pay just $5. Compared to other state expenses, this one is really manageable.
